Terms of Service

These terms cover freelance software development work carried out by Vadodariya Nilesh Jayantibhai, an individual developer based in Surat, Gujarat, India (referred to below as "I", "me" or "my"), for clients who engage me ("you"). Engaging me for a project means these terms apply, alongside whatever we agree in writing for that specific project. Where the two differ, the project agreement wins.

What I provide

Freelance software development: web application development, mobile app development, Flutter and cross-platform work, backend and API development, and maintenance or support of existing applications. What is included in your engagement is whatever the agreed quote or proposal says — not everything listed on this website.

Scope, quotes and dates

Before work starts we settle the deliverables, the price and a timeline in writing. Any estimate reflects the requirements as understood at that moment. If requirements grow or change direction, cost and dates may have to move with them; I'll raise that with you and get your agreement before carrying on, rather than billing a surprise later.

Payment

Payment structure — advance, milestone-based or on completion — is set per project in the quote or proposal, and invoices fall due as stated there. For longer projects I normally work in stages, with each stage invoiced as it is delivered. Where GST applies it is charged in addition, under GST number 24AIWPV3629C1ZW.

What I need from you

Most projects need something from your side: content, logins or access to the relevant systems, test data, and decisions when I ask for them. If those take a while, the timeline stretches by roughly the same amount. You also confirm that any material you pass to me — text, images, data, code — is lawful and yours to use.

Ownership of the work

Once a project is paid for in full, the custom code and assets built specifically for you are yours, unless we have written something different. Two things stay separate: general techniques, know-how and reusable building blocks I bring to the work remain mine to use again, and third-party or open-source components stay under their own licences.

Confidentiality

Business information you share with me in the course of a project stays confidential and is not passed to anyone else or used outside your project. I'm happy to sign a separate NDA if your organisation requires one.

What I don't promise

I work professionally and carefully to meet the agreed requirements. What I cannot promise is a commercial result — a level of sales, traffic, search ranking, funding or user growth — because those turn on markets, budgets and decisions well outside the code. No software is guaranteed free of defects either; what I do guarantee is to fix defects in my work that are reported within the agreed support period.

Third-party platforms

Projects usually sit on services neither of us controls: hosting, payment gateways, SMS and email providers, app stores, APIs. Their uptime, pricing, policy changes and review decisions are not something I can be answerable for, though I'll help you work around them where I can.

Limits on liability

So far as the law allows, my total liability for anything arising out of a project is capped at the fees you have actually paid me for that project. Indirect losses — lost profit, lost business, lost or corrupted data, downtime — are outside what I can accept liability for. Keeping your own backups remains your responsibility.

Ending an engagement

Either of us may end an engagement by giving the other reasonable written notice. If that happens, you pay for the work completed up to that point and I hand over what has been built and paid for.

Governing law

Indian law governs these terms, and the courts of Surat, Gujarat, India have jurisdiction over any dispute. Before it gets that far, I'd much rather we talked it through.

Changes to these terms

These terms may be revised from time to time; the current version always sits on this page with its date. A revision does not change the terms of a project already agreed — that engagement keeps the version in force when it began.
